Terms of Service

These Terms govern access to the HRGuru platform. By creating an account or using the Services you accept these Terms; for Company accounts, you confirm authority to bind your organisation.

These Terms of Service (the "Terms") are a binding agreement between you and Viktor Razhev, registered in Moldova ("HRGuru", "we", "us"). They govern your use of the HRGuru website, applications, browser extension and related services (the "Services").

1. Definitions

  • Service — the HRGuru AI recruitment platform at hrguru.work and related apps and extension.
  • Company / Client — the legal entity registering a Company account (the controller of Candidate Data).
  • Candidate — a natural person using the CV Builder or applying via a career page.
  • Authorised User — a named individual permitted to use the Service under the Client's seats.
  • Customer Data — all data the Client or its users submit to the Service, including Candidate Data.
  • Candidate Data — personal data of candidates/applicants processed through the Service.
  • Sourced Data — candidate data captured from third-party job boards or public profiles via integrations or the browser extension.
  • AI Output / AI Score — the advisory score (0–100), recommendation, summary and explanation produced by the Service; probabilistic and non-binding.
  • AEDT — Automated Employment Decision Tool, as defined under NYC Local Law 144.
  • HIGH-RISK AI — classification under EU AI Act Annex III, point 4(a) (recruitment).
  • Sub-processor — a third party engaged by HRGuru to process personal data.
  • DPA — the Data Processing Agreement executed between the parties, incorporated into these Terms.
  • Documented Instructions — these Terms, the DPA and the Client's configuration of the Service.
  • Aggregated / Anonymised Data — de-identified data that does not identify any person and is not personal data.
  • Pilot Access — full paid features granted at no charge under a written agreement.
  • Order Form — an ordering document referencing these Terms.

2. Acceptance and eligibility

By creating an account you accept these Terms for yourself and (for Company accounts) your organisation. Company accounts: the authorised representative must be 18+ and have authority to bind the organisation. Candidate accounts: available to individuals 18+. Moldova: acceptance constitutes a public-offer agreement under Civil Code Article 633.

3. AI scoring — your obligations

3.1 All jurisdictions

  • Keep a human in the loop and do not use AI Output as the sole basis of any hiring decision.
  • You are responsible for the lawfulness and non-discriminatory nature of your hiring decisions.
  • Provide candidates with any legally required notices (see the Candidate Privacy Notice).

3.2 European Union / EEA — EU AI Act

HRGuru's CV-scoring is a HIGH-RISK AI system under Regulation (EU) 2024/1689, Annex III, point 4(a). HRGuru acts as provider; the Client acts as deployer (Art. 26): the Client must ensure human oversight by competent staff, inform candidates that an AI system is used, use the system per the Instructions for Use, and must not modify the system, its intended purpose, or re-train it (Art. 25 — otherwise the Client becomes the provider). Annex III obligations apply from 2 December 2027; HRGuru will appoint an EU authorised representative (Art. 22) prior to full EU market availability.

3.3 United States — EEOC and state law

You are responsible for compliance with federal anti-discrimination law (Title VII, ADA, ADEA) and applicable state law for US candidates.

3.4 New York City — Local Law 144 (AEDT)

If you use the Service as an AEDT for NYC candidates, you must commission an annual independent bias audit and provide the required candidate notices. HRGuru will reasonably assist (see the DPA).

4. Data processing

As between the parties, you own Customer Data. For Candidate Data, HRGuru acts as processor and you act as controller; that processing is governed by the DPA, incorporated into these Terms. You warrant you have a lawful basis to upload Customer Data and have issued required privacy notices. You must not upload special-category data unless strictly necessary and lawful.

5. Sourced data, integrations and the browser extension

Source-platform responsibility. When you connect a job board or use the extension, you are responsible for complying with that platform's terms and applicable law.

  • You warrant you have the right to import candidate data from any board or source you connect, and that doing so complies with that source's terms and applicable law.
  • The browser extension operates within your own authenticated sessions on third-party sites. You are responsible for compliance with each platform's terms. HRGuru does not bypass technical protections, scrape in breach of terms, or solve CAPTCHAs.
  • Where you publish a vacancy to a board via the extension, you confirm you hold any required paid posting package; the extension pre-fills the form for your review and you submit it manually.
  • HRGuru does not warrant the accuracy, completeness or lawfulness of Sourced Data.
  • Where candidates are sourced (not applying directly), you, as controller, must provide the GDPR Art. 14 notice within the prescribed time.

6. Subscriptions, fees and payment

  • Fees are stated on the pricing page or your Order Form, exclusive of VAT and applicable taxes.
  • Paid subscriptions renew automatically unless cancelled before renewal; additional recruiter seats are billed as described on the pricing page.
  • Payments are processed by our payment provider; you authorise recurring charges. Except where required by law, fees are non-refundable.
  • Pilot Access (where granted) is provided free under a written agreement and may be time-limited.

7. Acceptable use

You will not: use the Service unlawfully or in breach of data-protection, employment or anti-discrimination law; upload malicious code or attempt unauthorised access; reverse engineer, scrape or resell the Service except as permitted; use the extension to violate a third-party site's terms or bypass technical protections; or use AI Output as the sole basis of a decision or in any way that results in unlawful discrimination.

8. Intellectual property

HRGuru and its licensors own all rights in the Service, software and trademarks. HRGuru owns Aggregated / Anonymised Data derived from use of the Service (not personal data). You retain rights in Customer Data.

9. Confidentiality

Each party will protect the other's Confidential Information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law. Personal data is additionally governed by the DPA; this Section does not replace the DPA.

10. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, HRGuru disclaims all implied warranties (merchantability, fitness for a particular purpose, non-infringement). AI Output is expressly excluded from any fitness warranty and is advisory and probabilistic. This does not exclude warranties that cannot be excluded by law.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or loss of profits or data. HRGuru's total aggregate liability under these Terms will not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim. This cap applies across all jurisdictions (EU/EEA, Moldova, Ukraine, USA). Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

12. Indemnification

You will indemnify HRGuru against third-party claims arising from: (a) your unlawful use of the Service; (b) your breach of Section 4 or Section 5; or (c) candidate data you sourced from third-party platforms in breach of those platforms' terms or applicable law — except to the extent caused by HRGuru.

13. Term, suspension and termination

These Terms apply while you use the Service or hold an account. We may suspend access for non-payment, security risk, or material breach, with notice where practicable. Either party may terminate for material breach not cured within 30 days of written notice. On termination, your right to use the Service ends; we delete or return Customer Data per the DPA.

14. Governing law and jurisdiction

These Terms are governed by the laws of Moldova. Subject to mandatory consumer-protection rights, the competent courts of Moldova have exclusive jurisdiction. For EU-based customers, mandatory local consumer protections are unaffected. If you contract through the Moldova IT Park or a different HRGuru entity, the governing-law and jurisdiction clause in your Order Form prevails.

15. General

  • Entire agreement: these Terms, the DPA and any Order Form are the entire agreement.
  • Force majeure: neither party is liable for delay/failure caused by events beyond reasonable control.
  • Assignment: you may not assign without our consent; we may assign to an affiliate or successor.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • Changes: we may update these Terms with reasonable notice; continued use constitutes acceptance.
  • Notices: legal notices to legal@hrguru.work and to the address on your Order Form.
